Terms of service.
These terms govern engagements between you and digitalmarketingagencyfor.com. Engagement-specific terms in your signed SOW take precedence over anything here.
Engagement scope
Each engagement begins with a signed SOW (Statement of Work) defining scope, deliverables, timeline, and price. Scope changes require a written change order. We don't bill for surprise scope.
Payment
Sprints: 30% upfront / 40% mid / 30% on go-live. Retainers: monthly in advance. All prices ex-tax in USD by default. EUR / GBP / AUD / INR available on request. Net-15 payment terms; late fees at 1.5% per month.
IP ownership
All work product IP transfers to the client on full payment. We retain the right to reference engagement work in case studies (anonymised by default unless you grant explicit naming permission).
Confidentiality
Standard mutual NDA included with every engagement. Brand-suppressed delivery available on request (white-label / agency partnership tier).
Liability + limitations
Total liability is capped at the fees paid in the 12 months preceding the claim. Consequential damages excluded. Force majeure standard. Disputes first attempt resolution via 30-day mediation before litigation.
Termination
Retainers: 30 days written notice either side. Sprints: completion or mutual termination. 14-day fit guarantee on Hire-a-Team — replacement or exit during the trial window without penalty.
Governing law
Engagements default to Delaware (US) law unless your SOW specifies otherwise. EU clients can elect their home jurisdiction at signing.
